Welcome to Pixel Edge Design Studio (accessible via pixeldge.co). These Terms and Conditions (“Terms”) govern the relationship, rights, and obligations between Pixel Edge Design Studio (“Studio”, “we”, “us”, or “our”) and the client (“Client”, “you”, or “your”) purchasing or utilizing our animation, multimedia, motion graphics, and creative asset services.

By commissioning work, signing a creative brief, or utilizing our website, you agree to be bound by these Terms.

1. Scope of Work & Project Execution

  • Project Initialization: Work begins only after the Studio receives a signed Project Proposal, a finalized Creative Brief, and the specified initial advance payment.
  • Milestone Approvals: Animation pipelines are structurally dependent on step-by-step progression (e.g., Scripting → Storyboarding/Animatics → Asset Design → Animation Production → Post-Production/Voiceover).
  • Sign-Off Locking: Once a developmental stage is formally approved by the Client (via email or project management platform), that stage is considered “locked.” Reverting to a locked stage to alter elements (such as modifying a storyboard during the final rendering phase) constitutes a change of scope and will incur additional fees and timeline adjustments.

2. Revisions and Modifications

  • Standard Revisions: Unless explicitly stated otherwise in your specific Project Proposal, each phase includes up to two (2) rounds of minor modifications within the predefined scope.
  • Out-of-Scope Modifications: Major structural changes, design style pivots after a stylistic asset direction has been approved, or additional features requested mid-project will be billed at our standard hourly creative rate or quoted separately as an addendum.
  • Turnaround Times: The Studio requires a reasonable window—typically three (3) to five (5) business days—to process, execute, and deliver standard revisions, depending on the computational rendering complexity of the requested changes.

3. Financial Terms and Payments

  • Payment Schedules: Standard commercial projects operate on a milestone-based installment framework (e.g., 50% advance / 50% upon final draft delivery, or a phased 40/30/30 schedule), as specified in your statement of work.
  • Late Penalties: Invoices not paid within fourteen (14) calendar days of issuance may incur a late fee calculated at 1.5% per month on the outstanding balances.
  • Project Suspension: If an invoice remains unpaid past its due date, the Studio reserves the right to halt all ongoing asset creation, rendering pipelines, and milestone deliveries until the financial ledger is cleared.

4. Intellectual Property & Source Assets

  • Production Source Materials: All raw creative materials, layered design files, structural mockups, proprietary assets, project databases, and skeletal frameworks generated during the production pipeline (collectively referred to as “Source Assets”) remain the exclusive intellectual property of the Studio. The Studio is under no contractual obligation to deliver or disclose these Source Assets to the Client.
  • Final Deliverables: Upon project completion and successful receipt of all outstanding final payments, the Studio will grant the Client full ownership and commercial distribution rights solely over the finalized, compiled, flattened, or rendered end-use files (the “Final Deliverables”).
  • No Software Transfers: Deliverables provided by the Studio consist purely of flat media outputs. Under no circumstances does this agreement include the transfer, licensing, or provision of any core operational software, third-party runtime applications, or proprietary project configurations used during creation.

5. Client Obligations & Third-Party Assets

  • Asset Clearances: The Client is entirely responsible for ensuring that all assets provided to the Studio—including corporate logos, brand guidelines, fonts, proprietary imagery, and specific scripts—do not violate the copyrights or trademarks of any third party.
  • Feedback Timelines: To maintain delivery schedules, the Client agrees to provide consolidated, clear feedback within four (4) business days of receiving a review link. Delays in feedback will dynamically extend project deadlines.

6. Project Termination

  • Termination for Convenience: Either party may terminate a project by providing seven (7) days of written notice.
  • Settlement upon Termination: If a project is canceled mid-way by the Client, the initial advance deposit is non-refundable. The Client will be billed proportionally for all studio hours expended, scripts written, or storyboards rendered up to the exact date of termination.

7. Limitation of Liability

  • Rendering and Technical Realities: While Pixel Edge Design Studio utilizes standard industry pipelines to deliver high-quality outputs on schedule, we are not liable for any lost profits, missed campaign deadlines, or consequential damages stemming from unforeseen software glitches, corrupted render nodes, third-party hosting issues, or client-side platform constraints.
  • Maximum Liability: In no event shall the total collective liability of the Studio exceed the absolute financial amount paid by the Client to the Studio for the specific disputed project.

8. Governing Law

These Terms shall be interpreted, construed, and governed in accordance with the laws of India. Any legal disputes, claims, or arbitration arising from services provided under these Terms shall fall under the exclusive jurisdiction of the competent courts in New Delhi, Delhi, India.
